1. Acceptance of Terms
These Terms and Conditions ("Terms") form a binding agreement between you and CodeDevlify ("CodeDevlify", "we", "us") and govern your access to and use of our website, dashboard, AI website builder, hosting, and related services (together, the "Services").
By creating an account, ticking the agreement box at sign-up, or otherwise using the Services, you confirm that you have read and accept these Terms and our Privacy Policy. If you use the Services on behalf of a business or organisation, you confirm you are authorised to bind it to these Terms. You must be at least 18 years old, or the age of legal majority where you live, to use the Services.
2. Definitions
- Account — your registered CodeDevlify account, including any team members you invite to it.
- Customer Content — everything you or your team upload, enter, or publish through the Services, including prompts, text, images, code, files, and domain configuration.
- Generated Output — website layouts, copy, code, and other material produced by our AI features in response to your prompts.
- Website — any site you build, host, or manage through the Services.
- Plan — the subscription package you select, including its features, resource limits, and price.
3. Accounts and Security
You must provide accurate, complete information when registering and keep it up to date. You may sign up with email and password or through a supported social login provider. You are responsible for:
- Keeping your password and any login credentials confidential
- Enabling the additional security features we offer where appropriate
- All activity that occurs under your Account, including actions taken by team members you invite
- Notifying us immediately at [email protected] of any unauthorised access or security incident
You may not share an Account between unrelated parties, sell or transfer an Account, or create Accounts by automated means.
4. Team Collaboration
Account owners may invite team members and assign them roles and permissions. The Account owner is responsible for who they invite, the access they grant, and removing access when it is no longer needed. Billing and ownership of Websites remain with the Account owner unless transferred in accordance with our procedures.
5. AI Website Generation
Our AI features generate Websites and content from the prompts and material you provide. To do this, your prompts and relevant Customer Content are processed by third-party AI model providers (such as OpenAI, Anthropic, and Google) acting on our behalf. By using AI features you agree that:
- Generated Output may be inaccurate, incomplete, or similar to output produced for other users, and is not guaranteed to be unique
- You are responsible for reviewing Generated Output before publishing it, including checking facts, legal and regulatory compliance, accessibility, and that it does not infringe anyone's rights
- You will not submit prompts or content that you do not have the right to use, or that contain sensitive personal data you are not permitted to share
- You will not use the AI features to generate unlawful, deceptive, infringing, or harmful material, or to impersonate any person or organisation
- Usage of AI features may be subject to limits that depend on your Plan
Subject to these Terms and your payment of applicable fees, as between you and us, you own the Generated Output created for your Account.
6. Hosting, Domains, and SSL
Websites hosted on CodeDevlify are subject to the following:
- Storage, bandwidth, number of Websites, and other resources are limited according to your Plan. We may throttle or suspend a Website whose usage materially exceeds its limits or degrades the platform for other customers
- When you connect a custom domain, you confirm that you own or are authorised to use it. You remain responsible for your domain registration, renewal, and DNS records
- SSL certificates are issued automatically through Let's Encrypt where your domain is correctly configured. Issuance and renewal depend on your DNS settings and on Let's Encrypt's availability
- We may collect visitor analytics and resource usage data for your Websites in order to provide site analytics, monitoring, and capacity management
7. Backups
We take periodic backups of hosted Websites and retain them for up to 30 days, after which they are deleted automatically. Backups are provided to support recovery and are not a guarantee against data loss. You are responsible for keeping your own independent copies of Customer Content that matters to you, and we recommend downloading backups regularly.
8. Acceptable Use
You agree not to use the Services, or allow anyone else to use them, to:
- Break any applicable law or regulation, or infringe the intellectual property, privacy, or other rights of anyone else
- Host or distribute malware, phishing pages, spam, or content designed to deceive or defraud
- Publish content that is sexually exploitative of minors, promotes violence or terrorism, or harasses or threatens others
- Run cryptocurrency mining, open proxies, or other workloads that consume excessive shared resources
- Probe, scan, or test the vulnerability of our systems, or bypass any security, rate-limiting, or bot-protection measure
- Interfere with or disrupt the Services, other customers' Websites, or the servers and networks that run them
- Scrape, reverse engineer, or resell the Services except as expressly permitted by us in writing
We may investigate suspected violations and remove content, suspend Websites, or suspend Accounts where we reasonably believe these rules have been broken, or where required by law.
9. Your Content
You keep all rights in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, and display Customer Content only as needed to provide, secure, and improve the Services for you. You are solely responsible for your Customer Content and for having all rights and permissions needed to publish it.
10. Subscriptions, Trials, and Billing
- Paid Plans are billed in advance on a recurring basis (for example monthly or annually) and renew automatically until cancelled
- Eligible Plans include a free trial (currently 14 days). Unless you cancel before the trial ends, your subscription converts to a paid Plan and you will be charged the applicable fee
- Payments are processed by our third-party payment providers, Stripe and Braintree. We do not store full card details on our servers. Your use of those providers is also subject to their terms
- Upgrades take effect immediately. Downgrades and other plan changes are reflected in your next billing cycle
- Prices are shown exclusive of taxes unless stated otherwise, and you are responsible for any applicable taxes
- If a payment fails or an invoice becomes overdue, we may retry the charge, restrict features, or suspend your Websites until the balance is paid
- We may change Plan prices with at least 30 days' notice. Changes apply from your next renewal, and you may cancel before then if you do not agree
11. Refunds
Fees are non-refundable except where required by law or where we decide otherwise. If you believe you have been billed in error or have another billing concern, contact support from your dashboard and we will review your request case by case. Approved refunds are returned to the original payment method.
12. Cancellation, Suspension, and Termination
You can cancel your subscription at any time from the Billing section of your dashboard. Cancellation takes effect at the end of your current billing period, and you keep access until then.
We may suspend or terminate your Account or any Website, with or without notice, if you materially breach these Terms, fail to pay fees when due, create risk or legal exposure for us or other customers, or if we are required to by law.
After your Account or a Website is terminated, it will stop being served and we may permanently delete associated Customer Content and backups after a reasonable period. Export anything you wish to keep before cancelling.
13. Service Availability and Support
We work to keep the Services reliable and available, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages (including hosting, DNS, payment, and AI providers), and events beyond our reasonable control may cause downtime. Support is available through our support channels; response times may vary by Plan. We may modify, add, or remove features of the Services over time.
14. Security Monitoring and Records
To protect the Services and your Account, we keep audit records of significant actions (such as sign-ins, billing changes, and Website changes), which may include your IP address, browser user agent, and timestamps. We also use bot protection on sign-up and other forms. How we handle personal data is described in our Privacy Policy.
15. Intellectual Property
The Services, including our software, templates, design system, branding, and documentation, are owned by CodeDevlify or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. If you send us feedback or suggestions, we may use them without obligation to you.
16. Third-Party Services
The Services integrate with third-party services such as payment processors, social login providers, AI model providers, domain registrars, and certificate authorities. We are not responsible for third-party services, and your use of them may be governed by their own terms and policies.
17. Disclaimers
To the fullest extent permitted by law, the Services and Generated Output are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
18. Limitation of Liability
To the fullest extent permitted by law, CodeDevlify will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of, or inability to use, the Services.
Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
19. Indemnification
You agree to indemnify and hold harmless CodeDevlify and its team from claims, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your Websites, your use of the Services, or your breach of these Terms.
20. Changes to These Terms
We may update these Terms from time to time. When we make material changes we will update the "Last updated" date above and notify you by email or in your dashboard before they take effect. Continuing to use the Services after the changes take effect means you accept the updated Terms.
21. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which CodeDevlify is established, without regard to conflict-of-law rules. Before starting any formal proceedings, you agree to contact us first so we can try to resolve the dispute informally. If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.
22. Contact Us
